1. Agreement
By creating an account, accessing, or using MindSyte ("the Service"), you ("Customer") agree to these Terms of Service ("Terms"). If you're agreeing on behalf of a company or organization, you confirm you have authority to bind that entity to these Terms.
The Service is operated by ProtocolOne, a Canadian company based in Montréal, Quebec ("MindSyte," "we," "us," "our").
2. The service
MindSyte is a B2B software platform for workplace safety, maintenance, and compliance management. We provide mobile and web access to features including:
- Maintenance request tracking
- Incident reporting
- Safety and security audits
- Chemical inventory and WHMIS-compliance management
- Document storage
- Team messaging and calendar
- AI-powered safety insights
We continuously improve the Service. Features may be added, modified, or removed.
3. Accounts
Eligibility
You must be at least 18 years old and able to enter into a binding contract.
Account security
You are responsible for keeping your login credentials confidential. You're responsible for all activity that occurs under your account. Notify us immediately at security@mindsyte.ca if you suspect unauthorized access.
Multiple users in a company
If you sign up on behalf of a company, you may invite other authorized employees. Each employee gets their own login. You're responsible for managing user permissions within your company.
4. Free trials
New customers receive a 14-day free trial. No credit card is required during the trial. At the end of the trial:
- If you choose a paid plan, billing begins on the day you subscribe
- If you don't subscribe, your account becomes read-only and is deleted within 30 days unless you reactivate
5. Pricing and billing
Pricing is described on our pricing page. Plans are billed per user, per month (or annually with a discount).
- Billing cycle: monthly or annual, depending on your selection
- Payment method: credit card (processed securely by our payment provider)
- Currency: US dollars unless otherwise specified
- Taxes: applicable taxes (GST/QST for Canadian customers) are added at checkout
- Auto-renewal: subscriptions automatically renew. You can cancel anytime from your account settings
- Price changes: we'll notify you at least 30 days before any price increase. You can cancel before the new price takes effect
6. Refunds and cancellation
- Monthly plans: cancel anytime. No refunds for the current billing period; service continues until period end
- Annual plans: cancel anytime. Pro-rated refund for unused months may be issued at our discretion
- Service termination by us: if we terminate your account for cause (violation of Terms), no refund is owed
7. Your content and data
You retain all rights to data and content you upload to MindSyte ("Customer Data"). By using the Service, you grant us a limited license to host, process, and display your data only as necessary to provide the Service.
- We don't own your data. You can export it anytime

- We don't use your data to train external AI models
You are responsible for the accuracy, legality, and appropriateness of the content you upload. You must not upload:
- Illegal, harmful, or infringing content
- Malware, viruses, or harmful code
- Content that violates third-party rights (copyright, trademark, etc.)
- Personal data of individuals who haven't consented to your collection of it
8. Acceptable use
You may not:
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Use the Service to send spam, harass others, or distribute malware
- Probe, scan, or test the vulnerability of our systems without authorization
- Share login credentials between users (each user must have their own account)
- Use the Service in any way that violates applicable laws or regulations
- Resell access to the Service without our written permission
9. Service availability
We aim for high availability but don't guarantee uninterrupted service. The Service is provided "as is" without warranties of any kind.
We may perform scheduled maintenance with advance notice. We may also need to perform emergency maintenance without notice — we'll communicate as soon as possible if this happens.
10. Limitation of liability
To the maximum extent permitted by law:
- MindSyte is not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim
- We are not liable for damages caused by your failure to maintain backups of your data, your misuse of the Service, or actions of third parties
11. Intellectual property
MindSyte, including its software, design, logo, and content (other than Customer Data), is owned by ProtocolOne and protected by copyright and other laws. You receive a limited, non-transferable, non-exclusive license to use the Service while your subscription is active.
12. Confidentiality
Both parties agree to keep confidential information confidential. We will not disclose your Customer Data except as outlined in our Privacy Policy or as required by law.
13. Termination
By you
You can cancel your account at any time from your account settings or by emailing support@mindsyte.ca.
By us
We may suspend or terminate your account if:
- You violate these Terms
- Your payment fails and remains unpaid for 30+ days
- You haven't logged in for 24 months (account considered abandoned)
- We are required by law to do so
What happens after termination
- You lose access to the Service immediately
- Your data is deleted from active systems within 30 days
- You can export your data before deletion by contacting support
14. Changes to these terms
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via email and an in-app notice. Continued use of the Service after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict of law principles.
Any dispute will be resolved in the courts of Montréal, Quebec, unless required otherwise by applicable consumer protection law.
